Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TradeNeighbor, including tradeneighbor.app and related services, applications, features, communications, and tools (collectively, the “Platform”).

The Platform is operated by TradeNeighbor Inc., a California corporation (“TradeNeighbor,” “we,” “us,” or “our”).

By creating an account or otherwise agreeing to these Terms, you agree to be bound by them. If you use TradeNeighbor on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and Business Use

TradeNeighbor is intended for businesses and individuals acting for legitimate business purposes. You must be at least 18 years old and legally capable of entering into binding agreements.

You are responsible for providing accurate account and business information and keeping it current.

You may not impersonate another person or business, misrepresent your authority, create deceptive accounts, or use TradeNeighbor for unlawful purposes.

2. What TradeNeighbor Does

TradeNeighbor provides technology that helps businesses discover one another, communicate, propose exchanges of services, document agreed trade terms, schedule and track fulfillment, maintain records, and calculate bilateral Trade Balances.

Unless expressly stated otherwise, TradeNeighbor:

• does not provide the services offered by members;
• does not employ or control members;
• is not a party to trades between members;
• does not guarantee the quality, legality, safety, licensing, availability, value, or performance of a member or its services;
• does not hold funds on behalf of members;
• does not guarantee that a member will fulfill a trade or satisfy a Trade Balance; and
• does not provide legal, tax, accounting, financial, licensing, or professional advice.

Members are responsible for deciding whether another business and its services are appropriate for them.

3. Business Profiles and Services

You are responsible for the accuracy of information you publish, including descriptions, prices or stated values, service areas, availability, images, credentials, and other representations.

Prices or values displayed on TradeNeighbor are supplied or accepted by members and do not constitute TradeNeighbor's determination of fair market value.

4. Matching and Recommendations

TradeNeighbor may recommend businesses or potential trading partners based on information available to the Platform.

A recommendation is not an endorsement or guarantee.

Automated tools, including artificial intelligence, may be used to help explain or present recommendations. TradeNeighbor's core matching scores and rankings are determined by Platform rules and data rather than being independently decided by generative AI.

You remain responsible for evaluating every potential trading partner.

5. Proposals and Trades

Members may propose exchanges containing one or more services and agreed values.

Before accepting a proposal, review its services, quantities, values, scheduling expectations, additional terms, and other details carefully.

When a proposal is accepted, the accepted terms and values are recorded by TradeNeighbor. Later changes to public service prices do not change the values already accepted for that trade.

Additional rules governing proposals, fulfillment, cancellations, disputes, cash settlements, and Trade Balance are contained in the Trade & Trade Balance Terms, which form part of these Terms.

6. TradeNeighbor Verification

TradeNeighbor may designate certain businesses as verified after completing its internal review process.

“TradeNeighbor Verified” means only that TradeNeighbor completed the review process applicable at that time. Unless specifically stated, verification does not constitute a guarantee, endorsement, professional-license verification, background check, financial review, or warranty regarding a business or its services.

TradeNeighbor may modify or revoke verification when appropriate.

7. Google Business Listings

Members may link public Google Business listing information to their TradeNeighbor profile.

Linking a Google listing is separate from TradeNeighbor verification and does not establish that the member owns or controls the Google listing.

Google ratings, review counts, and related information originate from Google and may change independently of TradeNeighbor.

8. Messages and User Content

TradeNeighbor may permit members to send messages, upload materials, submit reviews, and provide other content.

You retain ownership of your content but grant TradeNeighbor a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and process that content as reasonably necessary to operate, secure, improve, and promote the Platform, subject to our Privacy Policy.

You may not submit content that is fraudulent, defamatory, threatening, discriminatory, infringing, unlawful, deceptive, malicious, or intended to distribute malware or spam.

9. Reviews

Reviews must reflect genuine experiences.

You may not purchase, fabricate, manipulate, coerce, or improperly incentivize reviews.

TradeNeighbor may remove or restrict reviews that violate Platform rules, are fraudulent, concern matters unrelated to the transaction, disclose prohibited information, or otherwise violate these Terms or applicable law.

TradeNeighbor does not guarantee that every review is accurate.

10. Memberships

TradeNeighbor may offer Free, promotional, and paid membership plans.

Paid plans may include recurring charges and different Platform features or trade allowances.

Membership-specific rules are contained in the Membership & Billing Terms, which form part of these Terms.

11. Taxes

Members are responsible for determining and satisfying taxes, reporting requirements, licenses, registrations, and other obligations arising from their businesses and trades.

The exchange of services or property may have tax consequences even when no cash is exchanged.

TradeNeighbor may collect tax-identification information and provide or file tax forms when TradeNeighbor determines that applicable law requires it.

Nothing provided through TradeNeighbor constitutes tax advice.

12. Prohibited Conduct

You may not misuse the Platform, interfere with its operation, circumvent access controls or membership limits, scrape protected information, introduce malicious code, harass other members, manipulate trades or balances, create fraudulent transactions, abuse referral programs, falsify reviews, or use TradeNeighbor to conduct illegal activity.

TradeNeighbor may implement reasonable technical limits to prevent spam, fraud, scraping, automated abuse, or excessive usage.

13. Account Suspension and Termination

You may stop using TradeNeighbor subject to outstanding membership, trade, or other obligations.

TradeNeighbor may restrict, suspend, or terminate accounts when reasonably necessary to address violations, fraud, security risks, legal requirements, nonpayment, abuse, or threats to other members or the Platform.

Termination does not automatically erase completed trade records, legal records, amounts previously paid, unresolved disputes, or records TradeNeighbor reasonably must retain.

Treatment of an existing Trade Balance following closure or suspension is governed by the Trade & Trade Balance Terms.

14. Third-Party Services

TradeNeighbor may use or integrate services provided by third parties, including payment processors, mapping/listing providers, email providers, hosting providers, and authentication services.

Those services may be subject to separate terms and policies. TradeNeighbor is not responsible for outages or acts of third-party providers outside its reasonable control.

15. Platform Availability and Changes

We may modify, improve, discontinue, or add Platform functionality.

We do not guarantee uninterrupted or error-free availability.

We will not intentionally rewrite completed trade history or Trade Balance records merely because Platform functionality changes.

16. Intellectual Property

TradeNeighbor's software, branding, designs, trademarks, content, and other proprietary materials are owned by TradeNeighbor or its licensors.

Except for rights expressly granted under these Terms, no rights are transferred to members.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TRADENEIGHBOR DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TradeNeighbor does not warrant another member's services, representations, qualifications, performance, or ability to satisfy an obligation.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADENEIGHBOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA ARISING FROM YOUR USE OF THE PLATFORM OR DEALINGS WITH ANOTHER MEMBER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADENEIGHBOR'S AGGREGATE LIABILITY ARISING FROM THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TRADENEIGHBOR DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TradeNeighbor and its officers, directors, employees, and agents from third-party claims arising from your services, content, unlawful conduct, violation of another party's rights, or material breach of these Terms.

20. Governing Law and Disputes With TradeNeighbor

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

21. Changes to These Terms

We may update these Terms.

When changes are material, we may provide notice and require renewed acceptance. The effective version and acceptance record may be stored with your account.
