Trade & Trade Balance Terms
Effective Date: September 24, 2026 · Last Updated: September 24, 2026 · Version 2026-09-24
These Trade & Trade Balance Terms supplement the TradeNeighbor Terms of Service.
1. Member-to-Member Trades
A TradeNeighbor trade is an agreement between participating businesses. TradeNeighbor provides tools for documenting and managing that agreement but is not the provider of the exchanged services.
Each business is responsible for determining whether it can legally and professionally perform the services it offers.
2. Proposals
A proposal may identify:
- participating businesses;
- offered and requested services;
- quantities;
- agreed service values;
- scheduling information; and
- additional terms entered by the businesses.
A proposal does not become an accepted trade until accepted through the Platform.
Acceptance records the agreed values for that trade. Later changes to a member's standard pricing do not retroactively modify an accepted trade.
3. Membership Allowance
Where a membership includes a limited number of trades, a trade uses the applicable allowance when it is accepted/created under the Platform's membership rules.
A trade continuing into a later billing cycle does not consume another allowance merely because it remains open.
4. Fulfillment
Members are responsible for scheduling and performing their agreed services.
TradeNeighbor may provide statuses and confirmation tools to document progress.
A member should not mark a service completed unless it has actually been performed or delivered as agreed.
5. Completion
Trade Balance does not arise merely because a proposal was accepted.
The Platform records the applicable Trade Balance ledger effect only after the completion requirements for the trade have been satisfied, including the required confirmations from the participating businesses.
6. Trade Balance
A Trade Balance is a record of unequal service value remaining between the same two businesses following completion of an eligible trade.
For example, if Business A completes $550 of agreed service and Business B completes $425 of agreed service, the $125 difference may be recorded as future service value between those two businesses.
Trade Balance:
- is not cash;
- is not a bank deposit;
- is not stored money;
- cannot be withdrawn;
- cannot be transferred or sold to another member;
- cannot be spent with an unrelated business;
- is not a marketplace-wide currency; and
- represents future service value only between the same two businesses.
TradeNeighbor maintains records of Trade Balance but does not hold money corresponding to that balance.
7. Ledger Records
TradeNeighbor maintains ledger records supporting Trade Balance.
Ledger effects may include completed trades, balance redemptions, recorded cash settlements, or authorized administrative adjustments.
Completed historical ledger records are maintained as records of Platform activity.
8. Using an Existing Trade Balance
When the same two businesses complete later transactions, an existing Trade Balance may be reduced, increased, or otherwise affected according to the agreed values and the Platform's completion rules.
A Trade Balance does not require either business to accept an unrelated future proposal on terms it has not agreed to.
9. Cash Settlement
Where the Platform permits the businesses to record a cash settlement, the settlement is an arrangement between those businesses.
Unless TradeNeighbor expressly offers a separate payment service, TradeNeighbor does not collect, hold, escrow, transmit, or guarantee settlement funds.
A recorded settlement should be entered only after the participating businesses have actually agreed to it.
10. Cancellations
An accepted trade may be cancelled only as permitted by the Platform and the businesses' agreement.
A cancelled trade that was never completed does not create a completion-based Trade Balance merely because it had previously been accepted.
Cancellation does not automatically resolve independent claims between the businesses arising from work already performed outside the Platform's confirmed completion process.
11. Disputes
Members should first attempt to resolve trade disagreements directly and professionally.
TradeNeighbor may provide a dispute process and may review Platform records to determine how a trade should be represented within TradeNeighbor.
A TradeNeighbor dispute decision governs Platform records and Platform status. Unless expressly stated otherwise, TradeNeighbor is not acting as a court or arbitrator and does not adjudicate independent legal claims between businesses.
12. Account Closure and Trade Balance
Completed Trade Balance records remain part of the Platform's transaction history.
However, a Trade Balance depends on future performance by the other business and is not guaranteed by TradeNeighbor.
If the other business closes, becomes unavailable, is suspended, ceases operating, or refuses future transactions, TradeNeighbor does not convert the Trade Balance into cash or assume that business's obligation.
13. Taxes
The businesses are responsible for determining the tax treatment and fair market value of their transactions.
Barter transactions may constitute taxable income even when no money changes hands.
TradeNeighbor may request taxpayer information and issue or file information returns when required by applicable law.
